CONSTITUTION FOR THE BADGER HILL RESIDENTS COMMUNITY GROUP
(BHRCG)

1. The name of the Association shall be Badger Hill Residents Community Group

2. The objects of the Association shall be
(i) to promote the benefits of all residents living on Badger Hill and to work towards improving their environment and general living conditions
(ii) to liaise with local authorities and organisations in order to achieve the provision maintenance and management of community facilities for the benefit of residents

3. The Association shall be non-party political and non-sectarian

4. The Association shall have the power to cooperate with other organisations in order to achieve the Association’s objectives

5. Membership shall be open to all Badger Hill residents aged sixteen and above
The annual subscription shall be determined by members by vote

6. The Association shall be managed by a General Committee to be elected at the Annual General Meeting
The General Committee shall consist of Chair Secretary Treasurer and three Area Representatives for the West East and South areas of Badger Hill
The quorum for the Committee shall be four members
The General committee shall have the power to fill from among themselves any Office or Committee vacancy occurring between General (Public) meetings

7. The General Committee may establish sub-committees and their terms of reference and may co-opt non-members of the association on to these where considered necessary. Co-opted members will be non-voting

8. The Committee shall call Annual General Meetings for receiving and approving Accounts resignations election of new officers and members making policy decisions and amending the Constitution where necessary
Any motion or nomination must be with the Secretary at least fourteen days before the meeting
The committee shall call other meetings throughout the year as considered appropriate.
Voting shall be by a show of hands except for elections where voting may be by ballot

9. All money raised by or on behalf of the Association shall be used to advance the objects of the Association and for no other purpose
The Treasurer shall keep proper account of the finances and shall open a bank or building society account in the name of the Association
The accounts shall be examined at least once a year

10. If the Committee decides by a simple majority vote that for whatsoever reason it is necessary or advisable to dissolve the Association it shall call a meeting of all Members and if such a decision be confirmed by a simple majority of those present and voting at the meeting the Committee shall have the power to dispose of any assets held by or in the name of the Association
Any assets remaining after the discharge of any proper debts and liabilities shall be donated to a charity decided by the members always provided that charity is approved by the Charity Commissioners of England and Wales
